Terms of Service

IMPORTANT NOTICE: THESE TERMS INCLUDE BROAD FINANCIAL AND INVESTMENT DISCLAIMERS, A LIMITATION OF LIABILITY, AN INDEMNIFICATION OBLIGATION, AND — TO THE FULLEST EXTENT PERMITTED BY LAW — BINDING INDIVIDUAL ARBITRATION, A CLASS-ACTION WAIVER, AND A JURY-TRIAL WAIVER.

These Terms of Service (the “Terms”) govern your access to and use of CXProWealth, including cxprowealth.com, authenticated member areas, Strategy Desk, Market Lens, Valuation Lens, Portfolio Lens, Performance Lens, research reports, interactive tools, newsletters, data interfaces, APIs, Model Context Protocol (“MCP”) servers, apps, plugins, connectors, integrations, and other websites, software, content, features, products, and services that link to or expressly incorporate these Terms (collectively, the “Service”).

The Service is operated by Coexist Group LLC under the CXProWealth brand (“CXProWealth,” “we,” “us,” or “our”).

By accessing or using the Service, creating an account, becoming a member, connecting CXProWealth to an artificial-intelligence platform, installing or enabling a CXProWealth app, plugin, connector, or integration, or otherwise indicating acceptance, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

If you use the Service for an organization, you represent that you have authority to bind that organization, and “you” includes that organization where applicable.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Service. The Service is not directed to minors.

You may not use the Service if applicable law prohibits you from doing so, if you are subject to sanctions or trade restrictions that prohibit the use, or if we have previously suspended or terminated your access and have not authorized renewed use.

2. What CXProWealth is — and is not

CXProWealth provides investment research, financial-market information, quantitative analysis, modeling, educational content, analytical tools, and investment intelligence designed to help self-directed users understand markets, valuation, portfolio trade-offs, risk, performance, and related subjects.

Unless we expressly state otherwise in a separate written agreement:

• CXProWealth and Coexist Group LLC are not acting as your investment adviser, broker-dealer, securities dealer, commodity trading adviser, financial planner, bank, custodian, fiduciary, tax adviser, accountant, attorney, or other licensed professional;
• the Service does not create an adviser-client, broker-client, fiduciary, agency, trust, custody, or other professional relationship;
• the Service does not manage your assets or accounts;
• the Service does not have authority to trade on your behalf;
• the Service does not custody securities, cash, cryptocurrency, private keys, or other financial assets; and
• the Service does not promise or guarantee any investment result.

Interactive features may adapt calculations, charts, scenarios, research views, or explanations based on asset allocations, symbols, assumptions, scenarios, or time horizons you provide. Customization of an analytical tool does not convert the Service into personalized investment advice, a suitability determination, or a fiduciary recommendation.

3. Informational and educational purposes only

All research, scores, rankings, models, estimates, forecasts, fair-value ranges, expected-return assumptions, portfolio illustrations, scenario analyses, performance analyses, news summaries, market commentary, AI responses, charts, data, and other content available through the Service (“CXProWealth Materials”) are provided for informational and educational purposes only.

Nothing in the Service constitutes or should be construed as:

• investment, financial, legal, tax, accounting, or other professional advice;
• a recommendation or personalized recommendation to buy, sell, hold, allocate, rebalance, hedge, short, leverage, or otherwise transact in any security, asset, cryptocurrency, fund, commodity, derivative, investment product, or financial instrument;
• a determination that any investment or strategy is suitable or appropriate for you;
• an offer to sell, solicitation of an offer to buy, or endorsement of any security or financial product;
• a guarantee of capital preservation, income, return, performance, risk reduction, or any other outcome; or
• a substitute for your own research, judgment, due diligence, or qualified professional advice.

You are solely responsible for determining whether any investment, strategy, allocation, transaction, or decision is appropriate for you. You should independently verify material information and consult appropriately qualified professionals when needed.

4. Investment risk and no reliance

Investing involves risk, including the possible loss of some or all invested capital. Market prices can move rapidly. Securities and other assets may become illiquid, volatile, impaired, or worthless. Leverage, derivatives, concentrated positions, digital assets, and other instruments can involve additional or unlimited risk.

You acknowledge that:

• no research process can eliminate investment risk or uncertainty;
• apparently favorable historical relationships can fail without warning;
• market, economic, political, regulatory, geopolitical, company-specific, liquidity, credit, currency, interest-rate, inflation, operational, model, and technology risks can materially affect outcomes;
• any action you take based on or after using the Service is your own decision and at your own risk; and
• CXProWealth is not responsible for trades, allocations, losses, missed opportunities, taxes, fees, financing costs, or other consequences of your decisions.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU EXPRESSLY ASSUME ALL FINANCIAL AND INVESTMENT RISK ARISING FROM OR RELATING TO YOUR USE OF THE SERVICE. CXPROWEALTH AND THE PROTECTED PARTIES ARE NOT RESPONSIBLE OR LIABLE FOR ANY FINANCIAL LOSS, INVESTMENT LOSS, TRADING LOSS, PORTFOLIO LOSS, LOSS OF PRINCIPAL, LOST OR MISSED PROFIT, LOST OR MISSED OPPORTUNITY, TAX LOSS, INTEREST LOSS, BUSINESS LOSS, OR OTHER ECONOMIC LOSS OF ANY KIND, WHETHER DIRECT OR INDIRECT, FOR ANY REASON, INCLUDING ANY LOSS ALLEGED TO RESULT FROM RELIANCE ON CXPROWEALTH MATERIALS, DATA, MODELS, SCORES, RESEARCH, AI OUTPUTS, APP RESPONSES, ERRORS, OMISSIONS, DELAYS, OUTAGES, THIRD-PARTY INFORMATION, SECURITY EVENTS, OR ANY DECISION TO ACT OR NOT ACT.

Do not use the Service as the sole basis for an investment or other important financial decision.

5. No guarantees; market data, models, estimates, and historical results

The Service may use or combine information from exchanges, data vendors, public filings, government sources, financial institutions, media organizations, research providers, websites, third-party APIs, artificial-intelligence providers, and other sources. Data may be delayed, estimated, adjusted, restated, incomplete, unavailable, incorrectly mapped, or inaccurate.

Prices displayed through the Service may not be real-time, executable, official, or suitable for trading, valuation, accounting, tax, or settlement purposes.

Models and analytical outputs are necessarily based on assumptions, methods, historical observations, selected inputs, estimates, and judgment. Different assumptions or methods can produce materially different results. Valuation ranges, prospective-return estimates, model portfolio outputs, scenario results, rankings, and scores are not statements of fact and may not reflect future outcomes.

Historical, hypothetical, simulated, backtested, model-derived, or pro-forma results have inherent limitations. Unless expressly stated, they may not reflect actual trading, taxes, bid-ask spreads, commissions, market impact, financing costs, liquidity constraints, survivorship bias, data revisions, implementation delays, or behavioral effects. Past performance does not indicate or guarantee future results.

WE DO NOT GUARANTEE THAT ANY CXPROWEALTH MATERIAL, MODEL, SCORE, FORECAST, RANKING, SIGNAL, SCENARIO, OR ANALYSIS WILL BE ACCURATE, COMPLETE, CURRENT, PROFITABLE, USEFUL, SUITABLE, OR SUCCESSFUL, OR THAT USING CXPROWEALTH WILL OUTPERFORM ANY BENCHMARK, INDEX, ADVISER, ROBO-ADVISER, STRATEGY, PORTFOLIO, OR ALTERNATIVE.

6. Artificial intelligence and automated systems

The Service may use artificial intelligence, machine learning, automated research systems, statistical methods, deterministic calculations, third-party models, or combinations of these technologies to create, assist, synthesize, validate, classify, format, retrieve, rank, or present information.

AI and automated systems can produce incorrect, incomplete, inconsistent, outdated, fabricated, or misleading results. They can misunderstand context, calculations, source material, user intent, market events, or other information. Outputs may differ between runs and may change as models, providers, prompts, data, or systems change.

You must independently evaluate the accuracy, completeness, timeliness, and appropriateness of AI-assisted information before relying on it.

No statement generated by an AI system, including language that may sound directive or personalized, changes the informational nature of the Service or creates an advisory, fiduciary, brokerage, or professional relationship.

7. Connect CXProWealth, apps, plugins, MCP, and third-party AI platforms

CXProWealth may allow you to connect the Service to ChatGPT, Claude, or other third-party AI assistants, platforms, agents, apps, plugins, connectors, or MCP-compatible clients (collectively, “AI Platforms”).

7.1 Read-only research function

Unless we expressly launch a separate feature under different terms, CXProWealth integrations are designed as read-only research and information tools. They do not:

• place, route, recommend for execution, or execute securities or investment transactions;
• transfer money, cryptocurrency, securities, or other financial assets;
• connect to or control brokerage, bank, exchange, or custody accounts for transaction execution;
• hold credentials for trading or asset transfer; or
• make autonomous investment decisions on your behalf.

You must not attempt to use the Service or an AI Platform integration to circumvent these limitations.

7.2 Information shared through an AI Platform

When you invoke CXProWealth from an AI Platform, that AI Platform may transmit to CXProWealth portions of your request, relevant conversation context, account or authorization information, technical information, geographic information, or other data it determines is necessary to perform the requested function. CXProWealth may return research, data, analysis, or other information to the AI Platform.

The AI Platform may then combine, summarize, transform, truncate, reinterpret, cite, or supplement CXProWealth information with its own models, tools, web research, memory, context, or other sources. The final answer displayed by an AI Platform may therefore differ from the information returned by CXProWealth.

We do not control and are not responsible for an AI Platform’s model behavior, prompts, memory, context selection, retention, training practices, citations, transformations, availability, security, user interface, output, or decision to invoke—or not invoke—CXProWealth.

Your use of an AI Platform is separately governed by that provider’s terms, privacy policy, data controls, account settings, and other policies. You are responsible for reviewing them.

7.3 Authentication and permissions

AI Platform connections may use OAuth or other authorization methods. You authorize the AI Platform and CXProWealth to exchange the authentication, authorization, request, and response information reasonably necessary to establish and operate the connection.

You are responsible for reviewing the permissions you grant and for disconnecting or revoking access when you no longer want the integration to operate.

7.4 No endorsement or partnership

References to ChatGPT, OpenAI, Claude, Anthropic, MCP, or any other third-party platform do not imply sponsorship, certification, endorsement, partnership, joint venture, or agency unless expressly stated in a written agreement by the relevant parties.

We may add, modify, restrict, suspend, replace, or discontinue support for any AI Platform at any time. A third-party platform may also change or remove our integration independently of us.

8. Accounts, membership, and account security

Some features require an account, membership, authorization, or other eligibility status. You agree to provide accurate information and keep it reasonably current.

You are responsible for:

• maintaining the confidentiality and security of your account and login methods;
• all activity occurring through your account or authorized connections, except to the extent caused solely by our breach of applicable law;
• using strong authentication practices where available;
• promptly notifying us of suspected unauthorized access; and
• ensuring that anyone using the Service through your organization is authorized and complies with these Terms.

You may not sell, rent, sublicense, share, or transfer account access, membership privileges, authentication credentials, tokens, or access rights except as expressly permitted by us.

We may require reauthentication, identity or membership verification, additional security measures, or revocation of sessions or tokens at any time.

9. Plans, subscriptions, fees, and billing

The Service may include free and paid features, memberships, subscriptions, trials, or other plans. If you purchase a paid offering, the price, billing cycle, renewal terms, included features, taxes, and any material plan-specific terms will be presented at or before purchase and are incorporated into these Terms.

Where a subscription is described as recurring or auto-renewing, you authorize recurring charges until you cancel in accordance with the cancellation method made available for that plan.

Unless required by applicable law or expressly stated otherwise at purchase:

• fees are non-refundable after they are charged;
• partial periods are not refundable or creditable;
• you must cancel before the applicable renewal date to avoid the next charge; and
• price changes may apply to future billing periods after reasonable notice.

Taxes are your responsibility except taxes based on our net income.

Payments may be processed by third-party payment providers under their own terms and privacy policies. We do not require you to provide payment-card data through a CXProWealth AI integration, and you must not submit payment-card details through an AI connector or prompt.

We may modify plan features, limits, access levels, usage limits, or pricing to the extent permitted by law.

10. License to use the Service

Subject to these Terms and any applicable plan restrictions, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service and CXProWealth Materials for your own personal use or internal business use.

This license does not transfer ownership of any CXProWealth Materials or intellectual property.

10.1 Authorized use through an AI Platform

Where CXProWealth expressly provides an authorized AI Platform integration, you may allow that integration to retrieve and display CXProWealth Materials as reasonably necessary to answer your own questions or support your own internal use.

A third-party AI Platform's developer or distribution terms may require us to grant that platform or its users specified rights in an individual response returned through the integration. To the extent such a license is required for an authorized integration, that required license applies to the applicable response according to the governing platform terms. It does not transfer ownership of the underlying CXProWealth Service, database, methodology, software, or other proprietary materials, and it does not authorize systematic or bulk extraction, scraping, resale of the Service, circumvention of access controls, or creation of a competing dataset or product.

11. Prohibited use

To the maximum extent permitted by law, you may not, directly or through another person, bot, model, agent, script, browser automation, API client, or service:

• copy, scrape, crawl, harvest, download in bulk, mirror, archive, reproduce, republish, redistribute, resell, sublicense, syndicate, or commercially exploit CXProWealth Materials except as expressly permitted;
• use CXProWealth Materials to build, train, fine-tune, evaluate, benchmark, ground, populate, or improve a competing database, dataset, model, AI system, research product, investment product, newsletter, website, application, or commercial service without our prior written permission;
• systematically extract scores, model assumptions, fair-value calculations, weighting logic, prompts, hidden instructions, source-selection logic, research methodology, proprietary classifications, system architecture, or other non-public elements for the purpose of reproducing or competing with the Service;
• reverse engineer, decompile, disassemble, probe, or attempt to discover source code or non-public logic except where applicable law expressly permits and does not allow contractual restriction;
• bypass, defeat, interfere with, or evade authentication, membership controls, paywalls, quotas, rate limits, access controls, robots directives, security measures, or usage restrictions;
• attempt to obtain hidden system prompts, secrets, credentials, tokens, private keys, internal files, non-public data, or confidential information through prompt injection, adversarial prompting, exploit techniques, or other means;
• share accounts, tokens, credentials, or member-only content with unauthorized persons;
• impersonate CXProWealth, Coexist Group LLC, our personnel, or another user;
• represent CXProWealth Materials as your own research or imply our endorsement of you, your product, or your investment decisions;
• use the Service to facilitate market manipulation, fraud, insider trading, unlawful securities activity, money laundering, sanctions evasion, or other unlawful conduct;
• use the Service or an AI integration to execute or automate investment transactions or transfers of financial assets;
• interfere with, overload, damage, disrupt, or compromise the Service or another user’s use; or
• use the Service in any manner that violates law, third-party rights, applicable AI Platform policies, or these Terms.

We may investigate suspected violations and use technical measures to prevent or limit prohibited use.

12. User inputs, portfolio information, and feedback

You may provide prompts, questions, assumptions, portfolio information, holdings, allocation percentages, symbols, notes, messages, support requests, or other information to the Service (“User Input”).

You retain any ownership rights you have in User Input. You grant us a worldwide, non-exclusive, royalty-free license to host, reproduce, transmit, process, format, and otherwise use User Input as reasonably necessary to provide, secure, administer, troubleshoot, and comply with law in connection with the Service, subject to our Privacy Policy and any narrower restrictions applicable to requests received from third-party AI Platforms.

You represent that you have the right to provide User Input and that doing so does not violate law, contractual obligations, confidentiality duties, intellectual-property rights, privacy rights, or other third-party rights.

Certain interactive tools may process some information locally in your browser. A local-processing feature does not guarantee that no related technical or usage metadata is transmitted. The interface or Privacy Policy may provide additional details.

Do not submit brokerage passwords, bank passwords, private keys, seed phrases, Social Security numbers, full payment-card data, protected health information, or other credentials or regulated information that the Service does not request. We do not need such information to provide investment research.

If you voluntarily submit suggestions, ideas, feature requests, or other feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use and incorporate that feedback without restriction or compensation. Feedback is not confidential unless we separately agree in writing.

13. Intellectual property and proprietary research

The Service and CXProWealth Materials—including research, reports, text, datasets created by us, compilations, scores, rankings, classifications, calculations, methodologies, model outputs, charts, tables, graphics, software, interfaces, branding, trademarks, logos, designs, prompts, workflows, and the selection and arrangement of content—are owned by or licensed to Coexist Group LLC and are protected by intellectual-property and other laws.

Third-party market data, news, filings, trademarks, and other third-party materials remain the property of their respective owners and may be subject to additional licensing restrictions.

Nothing in these Terms obligates us to disclose non-public methodologies, models, source code, prompts, vendor relationships, scoring logic, research processes, or other trade secrets or proprietary information.

Except for the limited license expressly granted in these Terms, no rights are granted by implication, estoppel, or otherwise.

14. Third-party information, services, and links

The Service may contain or rely on information, software, APIs, market data, links, websites, AI providers, authentication services, hosting providers, analytics providers, databases, email services, payment providers, and other services operated by third parties.

Third-party services are outside our control and may change, fail, become unavailable, alter their terms, suffer security incidents, provide inaccurate information, or discontinue features without notice to us.

To the maximum extent permitted by law, we are not responsible for third-party content, systems, products, services, policies, availability, acts, omissions, security, accuracy, legality, or performance. Links and integrations are provided for convenience and do not imply endorsement.

Your use of third-party services is at your own risk and may be governed by separate terms and privacy policies.

15. Sponsored, affiliate, and related content

The Service may from time to time reference our own products, affiliated brands, partners, sponsors, or third-party products and services. Some links or references may be affiliate, referral, promotional, or sponsored arrangements from which we may receive compensation or another benefit.

Such arrangements do not convert the content into investment advice or create a guarantee, warranty, or endorsement of investment suitability.

Coexist Group LLC, its affiliates, owners, personnel, contractors, or contributors may from time to time hold positions or economic interests in securities, assets, issuers, funds, or products discussed in the Service. Unless specifically required by law or expressly stated, we do not undertake to disclose every such interest in every item of content.

16. Availability, beta features, and changes to the Service

The Service may include beta, preview, experimental, AI-generated, newly launched, or evolving features. They may be incomplete, contain defects, change materially, or be withdrawn.

We do not promise any service level, uptime, response time, data freshness, feature availability, model availability, provider availability, compatibility, storage duration, ranking, publication frequency, or continued access unless a separate signed agreement expressly states otherwise.

We may, at any time and to the extent permitted by law:

• add, remove, modify, restrict, suspend, replace, or discontinue any part of the Service;
• change models, providers, data sources, methodologies, scoring systems, interfaces, limits, access rules, or features;
• correct or remove content;
• impose or modify usage limits and rate limits; or
• make member-only content public or public content member-only.

We are not liable for modification, suspension, or discontinuation of the Service or any third-party integration.

17. Suspension and termination

You may stop using the Service at any time. Account closure or cancellation does not entitle you to a refund except where required by law or expressly stated in applicable purchase terms.

To the fullest extent permitted by law, we may restrict, suspend, or terminate your account, membership, credentials, tokens, integrations, API/MCP access, or any part of the Service, with or without notice, if we believe:

• you violated these Terms or another applicable policy;
• your activity creates legal, security, financial, reputational, technical, or operational risk;
• fraud, abuse, scraping, credential sharing, unauthorized access, nonpayment, or a chargeback may have occurred;
• action is requested by an AI Platform, service provider, rights holder, regulator, or law-enforcement authority;
• continued access may harm us, another user, a provider, or a third party; or
• we change or discontinue the relevant Service.

After termination, we may revoke sessions and tokens, cancel pending access, and delete or make information unavailable, subject to our Privacy Policy and applicable law. The Service is not a backup or permanent archival service, and you should keep independent copies of information you need.

18. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE, CXPROWEALTH MATERIALS, RESEARCH, MARKET DATA, MODELS, SCORES, ESTIMATES, FORECASTS, PORTFOLIO TOOLS, AI OUTPUTS, APP RESPONSES, APIS, MCP SERVICES, INTEGRATIONS, STORAGE, SUPPORT, AND ALL RELATED FEATURES ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS.” YOU USE THEM AT YOUR OWN RISK.

CXPROWEALTH, COEXIST GROUP LLC, AND THEIR AFFILIATES, LICENSORS, DATA PROVIDERS, SERVICE PROVIDERS, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, CONTRIBUTORS, AND AGENTS DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, TIMELINESS, RELIABILITY, QUALITY, AVAILABILITY, SECURITY, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE.

Without limiting the foregoing, we do not warrant that:

• the Service or any data will be uninterrupted, current, secure, error-free, loss-free, compatible, or available;
• any defect, error, incorrect analysis, failed integration, or stale data will be detected or corrected;
• any model, forecast, score, ranking, estimate, strategy, allocation, or scenario will be accurate or profitable;
• any AI output will be factual, consistent, reproducible, complete, or suitable for your purpose;
• any third-party provider or AI Platform will remain available or operate as expected;
• any content will be retained, recoverable, exportable, or free from loss; or
• use of the Service will protect capital, reduce risk, improve returns, beat a benchmark, beat an adviser or robo-adviser, or produce any particular financial result.

No oral or written information obtained from us creates a warranty unless included in a separate written agreement signed by an authorized representative of Coexist Group LLC.

Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.

19. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CXPROWEALTH, COEXIST GROUP LLC, AND THEIR AFFILIATES, LICENSORS, DATA PROVIDERS, SERVICE PROVIDERS, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, CONTRIBUTORS, AND AGENTS (COLLECTIVELY, THE “PROTECTED PARTIES”) WILL NOT BE LIABLE FOR ANY FINANCIAL LOSS, INVESTMENT LOSS, TRADING LOSS, PORTFOLIO LOSS, LOSS OF PRINCIPAL, LOST OR MISSED PROFIT, LOST OR MISSED GAIN, LOST OR MISSED OPPORTUNITY, TAX LOSS, FINANCING LOSS, INTEREST LOSS, MARKET LOSS, BUSINESS LOSS, OR OTHER ECONOMIC LOSS OF ANY KIND — WHETHER DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR OTHERWISE — FOR ANY REASON ARISING OUT OF OR RELATING TO THE SERVICE, CXPROWEALTH MATERIALS, AI OUTPUTS, APP RESPONSES, USER INPUT, THIRD-PARTY DATA OR SERVICES, SECURITY EVENTS, UNAUTHORIZED ACCESS, SERVICE INTERRUPTION, ERRORS, OMISSIONS, DELAYS, INACCURACIES, YOUR RELIANCE ON OR USE OF INFORMATION, OR ANY DECISION TO ACT OR NOT ACT, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE. THE PROTECTED PARTIES WILL ALSO NOT BE LIABLE FOR LOSS OF REVENUE, GOODWILL, REPUTATION, SAVINGS, DATA, USE, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES.

IF, DESPITE THE FOREGOING, A PROTECTED PARTY IS FOUND LIABLE FOR A CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, THE TOTAL AGGREGATE LIABILITY OF ALL PROTECTED PARTIES FOR ALL SUCH CLAIMS WILL NOT EXCEED THE GREATER OF: (A) ONE HUNDRED U.S. DOLLARS (US $100); OR (B) THE AMOUNT YOU PAID DIRECTLY TO CXPROWEALTH FOR THE PORTION OF THE SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

These exclusions and limitations apply to the fullest extent permitted by law, including if a remedy fails of its essential purpose. Nothing in these Terms excludes liability that applicable law does not permit to be excluded or limited.

To the maximum extent permitted by law, any claim arising out of or relating to the Service or these Terms must be filed within one year after the claim arose or be permanently barred.

20. Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless the Protected Parties from and against claims, proceedings, investigations, losses, liabilities, judgments, settlements, damages, fines, penalties, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

• your use or misuse of the Service;
• your User Input or information you submit or transmit;
• investment, trading, tax, portfolio, business, or other decisions you or another person make in connection with your use of the Service;
• your violation of these Terms, applicable law, or another person’s rights;
• your unauthorized reproduction, redistribution, publication, resale, scraping, extraction, or commercial use of CXProWealth Materials;
• activity through your account, credentials, tokens, or authorized integrations;
• your use of the Service on behalf of customers, clients, employees, contractors, investors, or other third parties; or
• disputes between you and any third party relating to your use of the Service.

We may control the defense and settlement of an indemnified matter and select counsel. You will reasonably cooperate and may not settle a matter in a way that admits fault by, imposes obligations on, or restricts a Protected Party without our prior written consent.

This section applies only to the extent permitted by applicable law.

21. Disputes, individual arbitration, class-action waiver, and governing law

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

21.1 Informal resolution

Before filing a claim, you and Coexist Group LLC agree to attempt in good faith to resolve the dispute informally for at least 30 days. A notice to us must describe the dispute and requested relief and be sent to contact@cxprowealth.com with the subject line “CXProWealth Legal Dispute Notice.”

21.2 Binding individual arbitration

Except for individual small-claims matters that qualify for small-claims court and requests by Coexist Group LLC for injunctive or equitable relief to protect intellectual property, confidential information, security, access controls, credentials, anti-scraping measures, or the integrity of the Service, disputes arising out of or relating to the Service or these Terms will be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its applicable consumer or commercial rules, as appropriate.

The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.

21.3 Class, collective, representative, and jury-trial waiver

YOU AND COEXIST GROUP LLC AGREE TO BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF, CLAIMANT, OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, MASS, PRIVATE-ATTORNEY-GENERAL, OR REPRESENTATIVE ACTION OR PROCEEDING, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

FOR ANY DISPUTE THAT PROCEEDS IN COURT, EACH PARTY WAIVES A JURY TRIAL TO THE MAXIMUM EXTENT PERMITTED BY LAW.

An arbitrator may award relief only to the individual party seeking relief and only to the extent necessary to resolve that individual party’s claim, except where applicable law requires otherwise.

21.4 Arbitration opt-out

You may opt out of the arbitration agreement in this Section by emailing contact@cxprowealth.com within 30 days after you first accept these Terms. Your notice must include your full name, the email address associated with your CXProWealth account if applicable, and a clear statement that you are opting out of the CXProWealth arbitration agreement. Opting out of arbitration does not opt you out of any other provision of these Terms.

21.5 Governing law and court venue

These Terms are otherwise governed by the laws of the state in which Coexist Group LLC is organized, without regard to conflict-of-laws principles, except to the extent federal law applies.

Any claim that is not subject to arbitration must be brought exclusively in a state or federal court having jurisdiction where Coexist Group LLC maintains its principal place of business, unless applicable law requires another forum.

Nothing in this Section eliminates rights or remedies that applicable law does not permit you to waive.

22. Copyright and intellectual-property complaints

If you believe material available through the Service infringes your intellectual-property rights, contact contact@cxprowealth.com with sufficient information for us to identify the protected work, the allegedly infringing material and its location, your contact information, your good-faith belief, a statement that the information is accurate and that you are authorized to act, and your physical or electronic signature where required by law.

We may remove or restrict material and terminate repeat infringers where appropriate.

23. Changes to these Terms

We may update these Terms as the Service, law, business model, or platform requirements change. The updated Terms become effective on the date stated in the revised version unless a later date is specified.

For material changes, we may provide notice through the Service, at sign-in, by email, or by another reasonable method. We may require affirmative acceptance of updated Terms.

If you do not agree to an update, your sole remedy is to stop using the Service and cancel any applicable subscription before the next renewal, subject to rights that cannot be waived by law. Continued use after updated Terms become effective constitutes acceptance where permitted by law.

24. General terms

Electronic communications

You consent to receive agreements, disclosures, receipts, notices, and other communications electronically, including through the Service or by email, where permitted by law.

Export controls and sanctions

You may not use, export, re-export, transfer, or provide the Service in violation of United States export-control, sanctions, anti-money-laundering, or trade laws or other applicable restrictions.

Force majeure

We are not responsible for delay, degradation, or failure caused by circumstances beyond our reasonable control, including market closures, exchange or data-provider failures, internet or telecommunications failures, cloud or AI-provider outages, cyberattacks, software defects, power failures, labor disputes, natural disasters, epidemics, war, terrorism, civil disorder, government action, legal restrictions, or failures of third-party infrastructure.

Assignment

You may not assign or transfer these Terms, your account, or your rights to the Service without our prior written consent. We may assign or transfer these Terms to an affiliate or in connection with financing, reorganization, merger, acquisition, sale of assets, change of control, or operation of law.

No agency or fiduciary relationship

These Terms do not create a partnership, joint venture, employment, franchise, agency, fiduciary, brokerage, advisory, or exclusive relationship between you and CXProWealth, Coexist Group LLC, any AI Platform, or any third party.

Severability

If a provision is held invalid or unenforceable, it will be enforced to the maximum extent permitted by law and the remaining provisions will remain in effect.

Waiver

Failure to enforce a provision is not a waiver of that provision or any other right.

Entire agreement

These Terms, the Privacy Policy, and any plan-specific or feature-specific terms expressly incorporated into them constitute the entire agreement between you and us concerning the Service and supersede prior or contemporaneous agreements on that subject, except for a separate written agreement signed by an authorized representative of Coexist Group LLC that expressly states it controls.

Survival

Provisions that by their nature should survive termination—including intellectual property, restrictions, disclaimers, liability limitations, indemnification, dispute resolution, and general terms—survive termination.
